Thomson Geer guides ASX lister on uranium explorer merger

Thomson Geer has provided guidance to ASX lister 92 Energy Limited on a proposed merger that will merge it with Canada-focused uranium explorers ATHA Energy Corp and Latitude Uranium Inc.

Under the deal, ATHA Energy Corp will acquire 92 Energy through a scheme of arrangement while simultaneously picking up Latitude Uranium via a Canadian court-approved plan of arrangement. The resulting Canada-centric uranium exploration company will have projects spanning the country's leading uranium jurisdictions.

The merger is expected to reach completion in the first quarter of the year. Lead partner Scott Gibson said that the deal “reflects the market's current appetite for quality uranium assets”.

Gibson received support from partners David Church and Michael Ng; associate Kajal Parmar; and lawyers Dan Smailes and Ariane Moir. The team navigated the complex cross-border, three-way merger structure alongside 92 Energy's financial advisers and Canadian counsel.
