Top firms act as Domino’s buys German independent pizza giant
Top firms have advised on ASX-listed Domino's Pizza Enterprises Limited’s (DPE) acquisition of Germany’s largest independent pizza chain.

Thomson Geer acted as lead counsel for DPE, while DLA Piper in Hamburg acted as local counsel, as Domino's Pizza Deutschland (DPD) bought Hallo Pizza for $100m from sole owner Axel Fassbach. FRANZ Rechtsanwälte acted as lead counsel for Hallo.

Thomson Geer is continuing its longstanding relationship with DPE. It advised the company, which is Australia’s largest pizza delivery chain and the largest franchisor of the Domino’s Pizza brand in the world, when it formed the DPD joint venture with LSE-listed Domino’s Pizza Group (DPG) in 2015.

Thomson Geer also advised on the acquisition of Joey’s Pizza, then Germany’s largest pizza delivery chain, for €79m in 2015. DLA Piper also advised DPE on that deal. That same year, Thomson Geer also advised DPE on its acquisition of Pizza Sprint in France.

The Thomson Geer team was led by partner Eugene Fung and senior associate Jamie Kerr.

The DLA Piper team was led by counsel Cristina Villafrade, who was the overall transaction lead, and partner Dr Benjamin Paremeswaran. Counsel Sebastian Decker and associate Sophie von Mandelsloh also assisted in the deal.

DPE has more than 2,000 stores in Australia, New Zealand, Belgium, France, the Netherlands, Japan, and Germany.
