Top firms assist as SG-listed transport company further expands down under

Two firms have advised as a listed Singaporean transport company further expanded in Australia.

Lander & Rogers advised the ComfortDelGro Group in its acquisition of Buslink, which was counselled by Herbert Smith Freehills. Made through wholly owned subsidiary ComfortDelGro Australia, the deal is worth $191m.

The largest acquisition of the company in Australia to date, the deal follows its acquisition of Forest Coach Lines in New South Wales and Tullamarine Bus Lines in Victoria earlier this year. The Buslink purchase added to the company’s operations in NSW and Victoria, as well as gave immediate access to the Northern Territory and Queensland markets where the company did not have a presence.

Lander & Rogers said that it advised on all aspects of the transaction, including on legal due diligence, agreements, environmental due diligence, employment, and Foreign Investment Review Board matters.

The national firm’s lead partner on the deal was Deanna Constable, who was assisted by senior associate Helen Scott, special counsel Eddy Goldsmith, and lawyer Shaun Rich from the team’s corporate and M&A group.

From the real estate and projects team, partner Julian Olley, senior associate James Hill, and lawyer Aneesa Clark provided expert advice.

Workplace and relations partner Aaron Goonrey and lawyer Luke Scandrett also acted on the deal.

Commercial disputes matters were handled by partner Tean Kerr, special counsel Keiran Breckenridge, and lawyer Julie Nettle.
