Paul Weiss, Cravath and Allen & Overy serve as legal counsel to Qualcomm which has put forth a tender offer to acquire all shares of NXP for $110.00 per share.
DLA Piper is the legal counsel of the Qualcomm board for the matter while Goodwin Procter is counselling Centerview Partners, the financial and fairness opinion adviser to the Board. Shearman & Sterling advised Qualcomm on European competition law.
Meanwhile, Skadden Arps and De Brauw Blackstone serve as the legal counsel to NXP. Jones Day is the legal adviser for Qatalyst Partners, the financial adviser of NXP.
According to Legal Week
, the Qualcomm-NXP deal is the first for M&A star Scott Barshay who recently left Cravath for Paul Weiss.
The Cravath team includes partners George E. Zobitz and D. Scott Bennett on financing matters and partners Christine A. Varney and Yonatan Even on antitrust matters.
Meanwhile, DLA Piper’s team includes US co-chair Cameron Rains, public company and corporate governance chair Douglas Rein and corporate and technology partner Jeff Baglio.
Allen & Overy’s team includes corporate partner Christiaan de Brauw and tax partner Godfried Kinnegim, reported Legal Week
Shearman & Sterling’s team was led by Brussels partners Miguel Rato and Stephen Mavroghenis.
NXP-adviser Skadden Arps’ team includes M&A partners Allison Schneirov, Kenton King and Alexandra McCormack; antitrust partners Steven Sunshine, Ingrid Vandenborre and Maria Raptis; executive compensation partner Regina Olshan; tax partner Gavin White; and corporate finance partner Laura Belkhayat.
Leading the De Brauw Blackstone Westbroek team is partner Arne Grimme, a specialist in M&A, ICT and private equity.
