G+T works on $469m cross-border acquisition

Gilbert + Tobin (G+T) has confirmed its role in the $469m acquisition of an ASX-listed agribusiness company by a Canadian agriculture giant.

The top firm advised Ruralco Holdings, which is being acquired by Nutrien, the world’s largest producer of crop input and services. Allens advises Nutrien on the corporate side of the deal, Australasian Lawyer previously reported.

The scheme of arrangement for the Ruralco acquisition became effective on 13 September, G+T said. The merger was approved by the Australian Competition and Consumer Commission (ACCC) in August, after an extended review and public consultation.

Australasian Lawyer earlier confirmed that Ashurst and Johnson Winter & Slattery (JWS) handled the regulatory approval for the deal. Ashurst worked closely with Blake, Cassels & Graydon, the Canadian competition counsel of Nutrien, on the ACCC approval.

Corporate partners Costas Condoleon and Kevin Ko led the G+T team. They were supported by corporate lawyers Wes Bainbridge and Andrea Bennett, disputes partner Colleen Platford, and disputes lawyers Alexandra Whitby, Alice Pailthorpe, and Mitchell Bennett.

Condoleon said that the deal allows the merged group to provide a greater choice of products, services, and technologies to Australian farmers to help them succeed in an increasingly competitive global environment.

The G+T corporate advisory team recently acted for Anheuser-Busch InBev on the $16bn sale of Carlton & United Breweries to Asahi Group, for DuluxGroup on its $4.2bn acquisition by Nippon Paint, for BGH Capital on its $2.3bn acquisition of Navitas, for TPG on its $1bn acquisition of Greencross, and for Viva Energy on its $2.65bn IPO.
