US company taps into Australian capital markets with Baker McKenzie’s guidance

Baker McKenzie has helped a New York-headquartered Delaware-incorporated company tap into Australian capital markets.

The legal giant acted for PINCHme.com on a pre-IPO capital raising, IPO, and ASX listing with a market capitalisation of $58.6m. Details of the pre-IPO capital raising were not revealed.

The deal team was led by partner Lauren Magraith, who was assisted by partners Antony Rumboll and Andrew Reilly; special counsel Caroline Tait and Paul Anderson; associates Matthew De Cataldo, Ivo Basoski, and Alberto Pacchioni; and lawyer Francisco Widjojo.

Baker McKenzie utilised its global network for the deal, Magraith said.

“We are delighted to assist our client, PINCHme.com, as a Delaware corporation, in accessing funding in Australian capital markets to drive membership growth and pursue further monetisation opportunities for its expanding business,” she said.

“The Baker McKenzie team on this transaction included lawyers from our Sydney, Chicago and San Francisco offices, as well as our US securities lawyers who are based in Sydney. Our global footprint allowed us to provide seamless Australian and US advice to PINCHme on what is a transformative step for the company.”

Baker McKenzie also acted in last year’s IPO and ASX listing of Pyrolyx AG, the first German company to list on the ASX.
